1. Acceptance of Terms
Welcome to Certus AI. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Certus AI, Inc. ("Certus AI," "Company," "we," "us," or "our") governing your access to and use of our website (www.certus.ai), voice AI platform, mobile applications, and all related services (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.
If you are using the Services on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to both you individually and that entity.
2. Description of Services
Certus AI provides voice AI solutions designed for the restaurant industry. Our Services include, but are not limited to: AI-powered phone agents that handle incoming calls for restaurants; automated order taking, reservation management, and customer inquiries; integration with point-of-sale (POS) systems including Toast, Square, Clover, NCR, Skytab, and others; upselling and menu recommendation capabilities; call analytics, reporting, and performance dashboards; and related support, training, and consulting services.
Our AI agents are designed to assist restaurants in managing phone communications, but they are not a replacement for human judgment. The Services are provided "as is" and the accuracy, reliability, and performance of AI-generated responses may vary.
3. Account Registration and Security
3.1 Account Creation
To access certain features of our Services, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. You must be at least 18 years of age to create an account and use our Services.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. Certus AI will not be liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.
4. Subscription, Fees, and Payment
4.1 Subscription Plans
Access to our Services may require a paid subscription. Subscription plans, pricing, and features are described on our website or in a separate service agreement. We reserve the right to modify our pricing and subscription plans at any time, with reasonable notice to existing subscribers.
4.2 Payment Terms
By subscribing to our Services, you agree to pay all applicable fees as described in your subscription plan or service agreement. Payments are due in advance on a monthly or annual basis, as specified. All fees are non-refundable except as expressly stated in these Terms or required by law. We may use third-party payment processors to process payments. Your use of such payment processors is subject to their terms and privacy policies.
4.3 Usage-Based Charges
Certain Services may include usage-based charges (e.g., per-call fees, overage charges, or transaction fees). These charges will be clearly communicated and billed in accordance with your subscription plan or service agreement.
4.4 Taxes
You are responsible for all applicable taxes, duties, and levies arising from your use of the Services, excluding taxes based on Certus AI's net income.
5. User Responsibilities and Obligations
5.1 Lawful Use
You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state, local, and international laws and regulations. You are solely responsible for ensuring that your use of the Services complies with all laws applicable to your business, including but not limited to consumer protection laws, telemarketing regulations, and food service regulations.
5.2 Content Accuracy
You are responsible for providing accurate and up-to-date information for use by our AI agents, including but not limited to menu items, prices, hours of operation, allergen information, and promotional offers. Certus AI is not responsible for errors or omissions resulting from inaccurate information provided by you.
5.4 POS Integration
If you integrate our Services with your POS system, you are responsible for ensuring proper configuration, maintaining the integration, and verifying that orders are accurately transmitted. You grant Certus AI the necessary permissions to access your POS system as required to provide the Services.
6. Acceptable Use Policy
You agree not to use the Services to: violate any applicable law, regulation, or third-party rights; transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; impersonate any person or entity or misrepresent your affiliation with any person or entity; interfere with or disrupt the Services or servers or networks connected to the Services; attempt to gain unauthorized access to any portion of the Services or any other systems or networks; use the Services for any fraudulent or deceptive purpose; transmit spam, chain letters, or other unsolicited communications; collect or harvest any information about other users without their consent; use any automated means to access the Services without our express written permission; reverse engineer, decompile, or disassemble any aspect of the Services; or use the Services in any manner that could damage, disable, overburden, or impair our servers or networks.
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Services, including all content, features, functionality, software, algorithms, AI models, designs, text, graphics, logos, and trademarks, are owned by Certus AI or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license to use the Services as expressly permitted herein.
7.2 License to Use Services
Subject to your compliance with these Terms, Certus AI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to sublicense, resell, distribute, or make the Services available to any third party.
7.3 Your Content
You retain ownership of any content, data, or information you provide to us in connection with the Services ("Your Content"). By providing Your Content, you grant Certus AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content as necessary to provide the Services and to improve our AI models and technology.
7.4 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.
8. Voice AI and Call Recording Terms
8.1 Call Recording and Monitoring
Our Services may record, transcribe, and analyze calls handled by our AI agents. These recordings are used to provide the Services, improve AI performance, ensure quality, resolve disputes, and comply with legal obligations. You acknowledge and consent to such recording and analysis.
8.2 Caller Consent
You are solely responsible for obtaining any required consent from callers for call recording in accordance with applicable laws, including but not limited to federal and state wiretapping and eavesdropping laws. You agree to implement appropriate disclosures to inform callers that their calls may be recorded and handled by an AI system.
8.3 AI Limitations
You acknowledge that our AI agents, while advanced, have limitations. AI responses may occasionally be inaccurate, incomplete, or inappropriate. Certus AI does not guarantee that the AI will correctly understand all caller requests, accurately process all orders, or handle all situations appropriately. You are responsible for monitoring AI performance and having procedures in place to address errors or customer complaints.
8.4 Human Oversight
We recommend that you maintain human oversight of AI-handled calls and have staff available to handle escalated calls, complex situations, or customer complaints. Certus AI is not responsible for any losses arising from the AI's failure to appropriately handle a call or escalate to a human agent.
9. Third-Party Services and Integrations
Our Services may integrate with or require the use of third-party services, including but not limited to POS systems (Toast, Square, Clover, NCR, Skytab, and others), telephony providers, payment processors, and other software platforms. Your use of such third-party services is subject to their respective terms of service and privacy policies. Certus AI is not responsible for the availability, accuracy, or performance of any third-party services, and we make no warranties regarding their operation or compatibility with our Services.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CERTUS AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING AI-GENERATED RESPONSES.
YOU ACKNOWLEDGE THAT AI TECHNOLOGY IS EVOLVING AND MAY PRODUCE UNEXPECTED OR INCORRECT RESULTS. CERTUS AI DISCLAIMS ALL LIABILITY FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN AI-GENERATED CONTENT OR ACTIONS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CERTUS AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER CERTUS AI WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CERTUS AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CERTUS AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.
12. Indemnification
You agree to indemnify, defend, and hold harmless Certus AI and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Services; your violation of these Terms; your violation of any applicable law or regulation; your violation of any third-party rights, including intellectual property rights or privacy rights; any content you provide to us; your failure to obtain required consents from callers; or any dispute between you and your customers arising from the use of our Services.
13. Termination
13.1 Termination by You
You may terminate your account and these Terms at any time by providing written notice to Certus AI and ceasing all use of the Services. Termination does not relieve you of any obligation to pay outstanding fees.
13.2 Termination by Certus AI
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms; non-payment of fees; fraudulent or illegal activity; conduct that harms other users or third parties; or discontinuation of the Services.
13.3 Effect of Termination
Upon termination, your right to use the Services will immediately cease. We may delete your account and all associated data, subject to any legal retention requirements. Sections of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us at info@certus.ai to attempt to resolve any dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least thirty (30) days.
14.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Certus AI agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language and shall take place in Delaware or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND CERTUS AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
14.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
15. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. We may also provide additional notice, such as by sending you an email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Certus AI regarding the Services and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17.3 Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.
17.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Certus AI may assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and assigns.
17.5 Force Majeure
Certus AI shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

We may provide notices to you via email, posting on our website, or through the Services. You may provide notices to us by contacting us at the address below. Notices will be deemed given upon receipt.
